SourceMach Terms of Service

Welcome to SourceMach (sourcemach.com, the "Platform", "we", "us"). SourceMach is a B2B information platform connecting Chinese pharmaceutical-equipment manufacturers with overseas buyers, primarily in the ASEAN region, operated from server infrastructure in Hong Kong. By accessing or using the Platform, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, please do not use the Platform.

1. Our Role: A Neutral Platform

SourceMach is a neutral platform that connects buyers and suppliers. We:

are not a party to any transaction between users, and do not participate in quotations, contracting, payment, manufacturing, shipping, or acceptance;
make no guarantee of any supplier's performance, credentials, product quality, or compliance with the regulatory requirements of any jurisdiction (including, without limitation, GMP requirements, import licensing, or product registration);
make no guarantee of any buyer's ability or intention to purchase.

Pharmaceutical-equipment procurement is a specialised activity. Buyers must conduct their own due diligence, including but not limited to factory audits, Factory Acceptance Tests (FAT), Site Acceptance Tests (SAT), Installation/Operational/Performance Qualification (IQ/OQ/PQ), and import-compliance review in the destination country. Any transaction you enter into with another user is at your own risk.

2. Directory Data: Provenance and Corrections

Supplier directory information on the Platform is compiled from publicly exhibited trade-fair catalog information and other public sources. Companies may claim and manage their own profiles. If you believe any directory entry is inaccurate, or you represent a listed company and wish to correct or remove information, contact legal@sourcemach.com and we will respond within a reasonable time.

3. Estimates and Market Data Are for Reference Only

Landed-cost figures, duty/tax estimates, market data, and similar content displayed on the Platform are estimates provided for reference only. They are not quotations, contractual offers, or customs declarations, and do not constitute legal, tax, compliance, or other professional advice. Actual costs are determined by the formal documents of freight forwarders, customs brokers, and destination-country authorities. Consult qualified professionals before making commercial decisions.

4. Account Rules

You must provide accurate and truthful information when registering and keep it up to date;
One account per person; credentials may not be transferred, lent, or shared;
No scraping, bulk harvesting, automated crawling, or systematic copying of the directory;
No use of the Platform for unlawful purposes, including posting false information, infringing others' rights, or circumventing export-control or sanctions rules;
We may warn, restrict, or terminate accounts that violate these Terms.

You are responsible for all activity under your account and for keeping your login email secure.

5. User Content

You retain ownership of content you upload or submit through the Platform (including company profiles, product information, inquiry messages, and claim evidence — "User Content"). To operate the Platform, you grant us a non-exclusive, worldwide, royalty-free license to store, display, translate, and reasonably distribute such content. You warrant that you hold the necessary rights to your User Content and that it does not infringe the intellectual-property or other legal rights of any third party.

6. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or accuracy of information.

To the maximum extent permitted by applicable law: (a) we are not liable for any indirect, incidental, special, or punitive damages, or for lost profits, goodwill, or data; (b) we are not liable for disputes arising from transactions between users; (c) our total aggregate liability arising out of these Terms or the Platform is limited to the fees you actually paid us in the twelve (12) months preceding the event giving rise to the claim (or HKD 1,000 if you paid no fees). Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions the above applies to the extent permitted by law.

7. Termination

You may stop using the Platform at any time and request deletion of your account. We may suspend or terminate your account and access if you breach these Terms, engage in conduct we reasonably consider harmful to the Platform or its users, or where required by applicable law, and where reasonably practicable we will tell you why. Provisions that by their nature should survive (including Sections 5, 6, and 8) survive termination.

8. Governing Law and Disputes

Unless mandatory law in your jurisdiction provides otherwise, these Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties shall first attempt to resolve any dispute amicably; failing that, disputes shall be submitted to the courts of competent jurisdiction in the Hong Kong SAR.

9. Changes to These Terms

We may revise these Terms from time to time. Material changes will be announced on the site or by email, with an updated version number and effective date. Your continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms. If you do not accept them, please stop using the Platform; you may request deletion of your account.

10. Miscellaneous

The Chinese and English versions of these Terms have equal standing; in case of discrepancy, the version matching the language you selected when using the Platform serves as the primary reference. If any provision is held invalid, the remaining provisions remain in effect.
